Quick Load LLC Terms of Service

Effective Date:

1. Service Overview

Quick Load LLC provides truck dispatch services to motor carriers and owner-operators, including but not limited to:

• Load procurement and matching services
• Rate negotiation with brokers and shippers
• Route planning and optimization
• Document management (BOLs, rate confirmations, etc.)
• Payment processing assistance
• Regulatory compliance support

2. Eligibility and Registration

To use our services, you must:

• Be at least 21 years of age
• Possess valid motor carrier operating authority (MC number)
• Maintain current DOT registration
• Carry adequate cargo and liability insurance
• Provide accurate and complete registration information

3. Service Fees and Payments

3.1 Fee Structure

Our dispatch services are provided under the following fee structures (as selected during registration):

• Percentage Model: 5-10% of gross load revenue
• Flat Fee Model: $XX per load dispatched
• Subscription Model: $XXX per week/month

3.2 Payment Terms

• Invoices are issued weekly/bi-weekly/monthly as agreed
• Payment is due within 7 days of invoice date
• Late payments incur 1.5% monthly interest (18% APR)
• We accept ACH, wire transfer, and major credit cards

4. User Responsibilities

As a user of our services, you agree to:

• Maintain all necessary operating authority and insurance
• Comply with all FMCSA regulations and state laws
• Promptly communicate any service issues or load problems
• Provide accurate hours-of-service and location updates
• Not engage in fraudulent or deceptive practices
• Indemnify Quick Load LLC against claims arising from your operations

5. Service Limitations

While we strive to provide excellent service, Quick Load LLC cannot guarantee:

• Specific number of loads or minimum revenue
• Availability of loads in particular lanes
• Broker or shipper payment performance
• Uninterrupted service availability

6. Term and Termination

6.1 Service Term

These terms remain in effect until terminated by either party with 30 days written notice.

6.2 Termination for Cause

Quick Load LLC may immediately terminate services for:

• Non-payment of fees
• Violation of safety regulations
• Fraudulent activity
• Material breach of these terms

6.3 Post-Termination

• All outstanding fees become immediately due
• We will provide final records within 15 days
• Confidentiality obligations survive termination

7. Data Collection and Usage

7.1 Information Collection

We collect various types of information to provide our services, including:

• Personal and business identification details
• Operational data (load details, GPS locations, etc.)
• Financial information for payment processing
• Technical data from website and app usage

7.2 Cookies

8. SMS Communications

8.2 SMS Terms & Conditions

1. Message Content: You may receive messages regarding:
   • Delivery appointments
   • Pick up addresses
   • ETA requests
   • Load numbers

   Example Messages:

   "Hello Can you please provide the delivery address? Reply STOP to opt out of SMS messaging at any time."

   "Mr. Driver need pick address asap? Reply STOP to opt out of SMS messaging at any time"

   "What is your eta to the shipper please? Reply STOP to opt out of SMS messaging at any time"

   "Hello what is the load number to get loaded. Reply STOP to opt out of SMS messaging at any time"

2. Message Frequency: Typically no more than 2 messages per week, though may vary based on operational needs.
3. Message Fees: Standard messaging rates from your carrier may apply.
4. Opt-In Methods: You may opt-in verbally, through our website, or in written agreements.
5. Opt-Out: Reply "STOP" to any message to unsubscribe. For help, reply "HELP" or contact us directly.

9. Liability and Disclaimers

9.2 Service "As Is"

Our services are provided "as is" without warranties of merchantability or fitness for particular purpose.

9.3 Maximum Liability

Our total liability for any claims shall not exceed the fees paid to us in the 3 months preceding the claim.

10. Dispute Resolution

• Disputes will first attempt resolution through good faith negotiation
• Unresolved disputes shall be settled by binding arbitration in Michigan
• Arbitration shall follow AAA Commercial Rules
• Each party bears own attorney fees

11. General Provisions

11.1 Governing Law

These Terms shall be governed by Michigan law without regard to conflict of law principles.

11.2 Entire Agreement

These Terms constitute the entire agreement between parties regarding the subject matter.

11.3 Amendments

We may modify these Terms with 30 days notice. Continued use constitutes acceptance.

11.4 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control.
